Subject to the terms of this Agreement, WalkieCheck.io grants Customer a limited, non-exclusive, non-transferable license to access and use the WalkieCheck.io software platform for internal business purposes.

The Service may be used by Customer employees, contractors, or authorized production personnel.

This license does not grant any ownership rights to the software.

Customer may use the Service to:

• Track production equipment
• Assign communication devices to crew
• Manage asset inventories
• Monitor equipment distribution across production teams

Customer agrees that the Service will only be used for lawful purposes.

Customer may not:

• Reverse engineer the platform
• Copy or reproduce the software
• Sell, sublicense, or redistribute the Service
• Attempt to access system source code
• Interfere with the security or performance of the platform

Customer is responsible for:

• Maintaining the confidentiality of account credentials
• Ensuring authorized users comply with these terms
• Verifying accuracy of equipment data entered into the system

WalkieCheck.io is not responsible for inaccuracies entered by users.

Customer retains ownership of all data entered into the platform including:

• Equipment inventories
• Asset assignments
• Crew contact information
• Operational production data

Customer grants WalkieCheck.io a limited license to store, process, and display such data solely for the purpose of providing the Service.

WalkieCheck.io provides a software platform to assist in tracking equipment. The Service does not guarantee the recovery, location, or security of any equipment.

WalkieCheck.io shall not be responsible for:

• Lost equipment
• Stolen equipment
• Damage to equipment
• Incorrect asset assignments

All physical security of equipment remains the responsibility of the Customer.

Customer acknowledges that production data may contain sensitive or confidential information.

WalkieCheck.io agrees to take commercially reasonable steps to safeguard such information and prevent unauthorized access.

However, WalkieCheck.io does not guarantee absolute security.

Customer agrees to pay all subscription fees associated with the Service.

Failure to pay required fees may result in suspension or termination of access.

Fees are non-refundable unless otherwise required by law.

Either party may terminate this Agreement upon written notice.

Upon termination:

• Customer access to the platform will be disabled
• Customer may request export of their data
• WalkieCheck.io may delete stored data after a reasonable retention period

To the fullest extent permitted by law, WalkieCheck.io shall not be liable for:

• Indirect damages
• Lost profits
• Equipment loss
• Business interruption
• Data loss

Total liability shall not exceed the amount paid by the Customer for the Service in the preceding twelve (12) months.

This Agreement shall be governed by the laws of the State of Mississippi.

All disputes shall be resolved in courts located within Mississippi.

This Agreement constitutes the entire agreement between the parties regarding the Service.

Any modifications must be posted through the WalkieCheck.io platform.
